Terms of Service v1.1

These Terms of Service govern the use of the botPro SaaS Platform, a B2B service providing AI Agent functionality and automated business solutions. By using this platform, you agree to the following terms:

1. Subscription & Credit Model: The platform operates on a subscription-based model with a Wallet system. Users can subscribe to Monthly Plans which include a Credit Limit. Service will be suspended if the subscription period ends or credits are exhausted. Additional credits can be purchased via the Wallet.

2. Prohibited Activities: Users are strictly prohibited from using the AI Agents for illegal activities, including but not limited to: fraud, gambling, distributing obscene content, or any actions violating Myanmar and international laws.

3. Platform Rights: botPro reserves the right to monitor usage and immediately suspend or terminate accounts found engaging in prohibited activities or violating our Refund and Suspension Policies.

4. AI Agent Disclaimer: botPro acts solely as a platform provider. The Business User acknowledges and agrees that botPro assumes no liability for the accuracy, completeness, or usefulness of any information or output generated by the AI Agents. The Business User is solely responsible for verifying and applying the AI-generated content.

5. Governing Law: These Terms are governed by Singapore law. Any disputes shall be resolved by arbitration under the Singapore International Arbitration Centre (SIAC) Rules. The platform also complies with applicable Myanmar laws.

## Refund Policy
6. Non-Refundable Fees: All Wallet top-ups and Monthly Plan subscription fees are non-refundable once the subscription period begins. Credits included in the plan or purchased separately are consumed on a usage basis and are not eligible for cash refunds.

7. Termination by botPro (Without Cause): If botPro discontinues the service entirely, the Business User may be eligible for a pro-rata refund of any unutilized portion of the current Monthly Plan subscription fee.

8. Termination by botPro (For Cause): No refunds will be provided for services or credits remaining in the Wallet if the account is suspended or terminated due to a violation of these Terms, including but not limited to Prohibited Activities (Section 2).

## Suspension and Termination Policy
9. Immediate Suspension (For Cause): botPro reserves the right to immediately and without prior notice suspend or terminate access to the platform and services if the Business User or its end-users engage in any Prohibited Activities (Section 2) or any other violation of these Terms.

10. Suspension for Non-Payment: Failure to pay subscription fees or to maintain a positive Wallet balance when using over-limit services will result in automatic suspension of all services. Access will be restored upon payment of all outstanding balances.

11. User Responsibility: The Business User is solely responsible and liable for the actions and content generated by its users on the platform. The User agrees that suspension or termination under this section does not release them from any accrued payment obligations.

botPro SaaS Platform ၏ ဝန်ဆောင်မှုများကို အသုံးပြုခြင်းသည် အောက်ပါ စည်းကမ်းချက်များကို သဘောတူညီရာ ရောက်ပါသည် -

၁။ အစီအစဉ်နှင့် ခရက်ဒစ်စနစ်။ ဝန်ဆောင်မှုကို လစဉ်အစီအစဉ် (Monthly Plan) နှင့် Wallet စနစ်ဖြင့် ဆောင်ရွက်ပါသည်။ သတ်မှတ်ထားသော သက်တမ်းကုန်ဆုံးခြင်း သို့မဟုတ် ခရက်ဒစ်ကုန်ဆုံးခြင်းများတွင် ဝန်ဆောင်မှု ခေတ္တရပ်နားမည် ဖြစ်သည်။

၂။ တားမြစ်ချက်များ။ လောင်းကစားခြင်း၊ လိမ်လည်ခြင်း၊ ညစ်ညမ်းသောအကြောင်းအရာများ ဖြန့်ဝေခြင်းနှင့် တရားမဝင်သော လုပ်ဆောင်ချက်များအတွက် AI Agent ကို အသုံးပြုခြင်းအား လုံးဝတားမြစ်ထားသည်။

၃။ အရေးယူဆောင်ရွက်ခြင်း။ စည်းကမ်းချက်များ ချိုးဖောက်ပါက သို့မဟုတ် Refund/Suspension Policies နှင့် မညီညွတ်ပါက botPro မှ ဝန်ဆောင်မှုကို အချိန်မရွေး ရပ်ဆိုင်းပိုင်ခွင့် ရှိသည်။

၄။ AI Agent နှင့်ပတ်သက်သော တာဝန်ယူမှု ကင်းလွတ်ကြောင်း ကြေညာချက်: botPro သည် ပလက်ဖောင်း ဝန်ဆောင်မှုပေးသူအဖြစ်သာ ဆောင်ရွက်ပါသည်။ AI Agent များမှ ထုတ်ပေးသော မည်သည့် အချက်အလက် သို့မဟုတ် ရလဒ်များ၏ မှန်ကန်မှု၊ ပြည့်စုံမှု သို့မဟုတ် အသုံးဝင်မှုအတွက် botPro မှ တာဝန်ယူမှုမရှိကြောင်း လုပ်ငန်းသုံးစွဲသူမှ အသိအမှတ်ပြု၍ သဘောတူပါသည်။ AI မှ ထုတ်ပေးသော အကြောင်းအရာများကို စိစစ်အတည်ပြုရန်နှင့် အသုံးပြုရန်အတွက် လုပ်ငန်းသုံးစွဲသူသာလျှင် တစ်ဦးတည်း တာဝန်ရှိပါသည်။

၅။ ဥပဒေ။ ဤစည်းကမ်းချက်များကို စင်ကာပူနိုင်ငံ ဥပဒေ (SIAC) အတိုင်း လိုက်နာဆောင်ရွက်မည် ဖြစ်ပြီး မြန်မာနိုင်ငံ တည်ဆဲဥပဒေများကိုလည်း လိုက်နာမည် ဖြစ်သည်။

## ငွေပြန်အမ်းခြင်းမူဝါဒ (Refund Policy)
၆။ ငွေပြန်အမ်းရန်မရှိသောအခကြေးငွေများ။ Wallet ဖြည့်သွင်းခြင်းများနှင့် လစဉ်အစီအစဉ် (Monthly Plan) စာရင်းသွင်းခများအားလုံးသည် ဝန်ဆောင်မှုကာလစတင်သည်နှင့် တစ်ပြိုင်နက် ငွေပြန်အမ်းရန် အကျုံးမဝင်ပါ။ အစီအစဉ်တွင် ပါဝင်သော သို့မဟုတ် သီးခြားဝယ်ယူထားသော ခရက်ဒစ်များကို သုံးစွဲသည့်အပေါ်မူတည်၍ ဖြတ်တောက်မည်ဖြစ်ပြီး ငွေသားဖြင့် ပြန်အမ်းရန် အရည်အချင်းမပြည့်မီပါ။

၇။ botPro မှ ဖျက်သိမ်းခြင်း (အကြောင်းမဲ့)။ botPro မှ ဝန်ဆောင်မှုကို လုံးဝရပ်ဆိုင်းလိုက်ပါက၊ လက်ရှိ လစဉ်အစီအစဉ် စာရင်းသွင်းခ၏ မသုံးစွဲရသေးသော အပိုင်းအတွက် သုံးစွဲသူသည် အချိုးကျငွေပြန်အမ်းရန် အရည်အချင်းပြည့်မီနိုင်သည်။

၈။ botPro မှ ဖျက်သိမ်းခြင်း (အကြောင်းရှိ၍)။ ဤစည်းကမ်းချက်များ၊ တားမြစ်ချက်များ (အပိုင်း ၂) ကို ချိုးဖောက်ခြင်းကြောင့် အကောင့်ကို ဆိုင်းငံ့ခြင်း သို့မဟုတ် ဖျက်သိမ်းခြင်းခံရပါက Wallet တွင် ကျန်ရှိနေသော ဝန်ဆောင်ခ သို့မဟုတ် ခရက်ဒစ်များအတွက် ငွေပြန်အမ်းခြင်း ပြုလုပ်မည်မဟုတ်ပါ။

၉။ ချက်ချင်းရပ်ဆိုင်းခြင်း (အကြောင်းရှိ၍)။ လုပ်ငန်းသုံးစွဲသူ သို့မဟုတ် ၎င်း၏ အသုံးပြုသူများမှ တားမြစ်ချက်များ (အပိုင်း ၂) သို့မဟုတ် ဤစည်းကမ်းချက်များကို ချိုးဖောက်သည်ကို တွေ့ရှိပါက botPro တွင် ကြိုတင်အသိပေးခြင်းမရှိဘဲ ပလက်ဖောင်းနှင့် ဝန်ဆောင်မှုများသို့ ဝင်ရောက်အသုံးပြုခွင့်ကို ချက်ချင်းရပ်ဆိုင်းပိုင်ခွင့် သို့မဟုတ် အပြီးသတ်ဖျက်သိမ်းပိုင်ခွင့် ရှိသည်။

၁၀။ ငွေမပေးချေမှုကြောင့် ရပ်ဆိုင်းခြင်း။ စာရင်းသွင်းခကို ပေးချေရန် ပျက်ကွက်ခြင်း သို့မဟုတ် သတ်မှတ်ထားသော ဝန်ဆောင်မှုထက် ကျော်လွန်သုံးစွဲချိန်တွင် Wallet တွင် လုံလောက်သော လက်ကျန်ငွေမရှိခြင်းသည် ဝန်ဆောင်မှုအားလုံးကို အလိုအလျောက် ရပ်ဆိုင်းစေမည် ဖြစ်သည်။ ရပ်ဆိုင်းထားသောအကောင့်ကို ကျန်ရှိနေသော ငွေကြေးအားလုံးကို ပေးချေပြီးမှသာ ပြန်လည်အသက်သွင်းပေးမည်။

၁၁။ သုံးစွဲသူ၏ တာဝန်။ ပလက်ဖောင်းပေါ်ရှိ ၎င်း၏အသုံးပြုသူများ၏ လုပ်ဆောင်ချက်များနှင့် ထုတ်လုပ်သော အကြောင်းအရာများအတွက် လုပ်ငန်းသုံးစွဲသူသည် တစ်ဦးတည်း တာဝန်ရှိပြီး အကျိုးခံစားရမည်ဖြစ်သည်။ ဤအပိုင်းအောက်တွင် ရပ်ဆိုင်းခြင်း သို့မဟုတ် ဖျက်သိမ်းခြင်းသည် စုဆောင်းမိထားသော ပေးချေရန်တာဝန်များမှ သုံးစွဲသူကို ကင်းလွတ်စေမည်မဟုတ်ကြောင်း သုံးစွဲသူမှ သဘောတူသည်။
